These Terms and Conditions (“Terms”) govern your participation in The Revenue Breakthrough Strategy Framework (“RBSF”), which includes webinars, courses, masterclasses, workshops, digital challenges, diagnostics, business clinics, masterminds, and any related services, courses, or memberships provided by The VPI Firm, LLC (“The VPI Firm,” “we,” “our,” or “us”). By enrolling in or accessing any part of the RBSF, you agree to comply with and be bound by these Terms. Please read them carefully before proceeding.

1. Services Provided

Program Components: Participants will receive access to specific components outlined for each program as described in digital platforms, promotional materials, or other official communications. These may include live or recorded training sessions, workbooks, templates, strategic guidance, community spaces, and support.

Program Benefits: Each program is designed to provide skill development, strategic frameworks, peer learning, and/or community support aligned with the program’s stated focus.

Access Period: Access to course materials and community platforms is time-limited to the duration specified at enrollment. The VPI Firm reserves the right to revoke access for violation of these Terms.

Usage Rights: Participants are granted a limited, non-exclusive, non-transferable license to use program content for personal or client-facing business purposes only. Commercial use is expressly prohibited.

Prohibited Actions: You may not copy, share, sell, resell, sublicense, distribute, modify, reverse-engineer, or create derivative works from any RBSF materials, frameworks, or content for commercial gain.

2. Code of Conduct

Respectful Interaction: All participants must engage respectfully with other members, instructors, and administrators. Harassment, discrimination, or disruptive behavior will not be tolerated.

Confidentiality: Participants agree to maintain the confidentiality of all content, discussions, and peer-shared information within RBSF programs. Sharing program materials or participant contributions outside of RBSF without written consent is strictly prohibited.

No Solicitation: Direct sales or marketing to other participants is not permitted unless expressly authorized by The VPI Firm.

Reporting Violations: Participants are encouraged to report any breaches of these standards to The VPI Firm.

3. Intellectual Property

Ownership: All RBSF content—including text, video, audio, templates, frameworks, graphics, and software—is owned by The VPI Firm or its licensors and protected under copyright and intellectual property laws.

No Derivative Works: Participants may not reproduce, adapt, or create derivative frameworks, products, or training using RBSF intellectual property.

Limited License: You are granted a personal, revocable license to access and use program content solely for your own education and client-serving purposes, in line with these Terms.

4. Confidentiality & Non-Disclosure

By participating, you agree not to disclose, share, or reproduce any confidential information—including strategies, methodologies, peer discussions, or personal/business data—shared during the program without written consent from The VPI Firm or the participant who disclosed it.

5. Payment, Refunds, Transfers, and No-Show Policy

Payment Obligations: By enrolling, you agree to pay all fees associated with your chosen program. Because program content and resources are made fully available upon enrollment (not released gradually), all payments are non-cancellable. If you select a payment plan, you remain responsible for completing all installment payments in full, regardless of withdrawal, participation level, or completion status.

Refunds & Guarantees: The offers provided in RBSF are designed to provide immediate access to high-value content, resources, and incentives that far exceed the enrollment fee. For this reason, we do not offer refunds under any circumstances.

Instead, certain programs may include results-based and/or action-based guarantees. These guarantees are conditional upon participants completing all required actions as outlined in the specific offer (E.g. documenting metrics, detailing progress, completing provided templates, etc.). If the specified results are not achieved after documented completion of the required actions within the stated timeframe, participants may be eligible for the outlined guarantee remedy (e.g., extended access, credit toward an upgrade, or alternative solution).

Deposits, where applicable, are strictly non-refundable.

No-Show Policy: Failure to attend a program without prior notice results in forfeiture of all fees paid, with no refunds or transfers permitted.

Special Circumstances & Transfers: In cases of serious illness, emergency, or unforeseen hardship, participants may request alternative accommodations such as credit, transfer of enrollment to another person, or deferred participation, at The VPI Firm’s discretion. Requests must be made no later than 72 hours after the start date to support-team@thevpifirm.com. 

6. Media Release

By participating, you grant The VPI Firm, our subsidiaries, and parent company the right to use your image, likeness, voice, written comments, and testimonials in recordings or promotional materials, unless you opt out in writing prior to program start. Confidential information will not be shared.

7. Results Disclaimer & Limitation of Liability

No Guarantees: RBSF programs are educational and informational only. We do not guarantee financial, business, or professional results. Any actions you take based on program content are your sole responsibility.

No Liability for Damages: To the fullest extent permitted by law, The VPI Firm is not liable for any direct, indirect, incidental, or consequential damages arising from your participation in the program.

Indemnification: You agree to indemnify and hold harmless The VPI Firm, our subsidiaries, parent company and all its employees, contractors, and affiliates from any claims or expenses related to your participation or violation of these Terms.

8. Technology & Third-Party Platforms

Programs may be delivered via third-party platforms (e.g., Thinkific, Zoom, Facebook, etc.). The VPI Firm is not responsible for outages, data breaches, or service interruptions on these platforms.

9. Privacy & Data Use

By participating, you consent to The VPI Firm’s Privacy Policy, which governs the collection and use of your personal data. We do not sell your information. Reasonable security measures are in place, though we cannot guarantee absolute security.

10. Amendments

We may revise these Terms at any time. Material changes will be communicated at least 30 days prior to taking effect. Continued participation after changes constitutes acceptance.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Maryland. Any disputes will first be submitted to mandatory mediation. If unresolved, disputes shall be subject to binding arbitration in Maryland, and participants waive the right to class action or jury trial.

12. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and The VPI Firm regarding participation in the RBSF.
